We act as an intermediary or advisor only and do not supply energy, utilities, or related commodities directly.

3.2 Basis of Engagement

Services may be provided:

  • Following written acceptance of a proposal or quotation

  • Following a request for services via our website or email

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information

  • Ensure you have authority to enter into agreements and provide data

  • Review supplier contracts and documentation independently

  • Comply with all applicable laws and regulations

We are not responsible for errors arising from inaccurate or incomplete information supplied by you.

5. Third-Party Suppliers

Where we introduce or broker services with third-party suppliers:

  • Any resulting contract is strictly between you and the supplier

  • Supplier terms and conditions will apply

  • We are not responsible for supplier performance, pricing, billing, or service delivery

Our role is limited to introduction, advice, and facilitation where applicable.

6. Fees, Charges, and Commission

6.1 Fees

Fees for our services will be agreed in writing prior to commencement.

6.2 Commission

We may receive commission from third-party suppliers for introductions or brokerage services. Where required by law or regulation, commission arrangements will be disclosed.

6.3 Payment

Unless otherwise agreed:

  • Invoices are payable within 14 days

  • Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998

7. Intellectual Property

All intellectual property rights in materials, reports, tools, content, branding, and methodologies created or used by us remain the property of Sustainability Energy Ltd. unless otherwise agreed in writing.

You are granted a non-exclusive, non-transferable licence to use deliverables for internal business purposes only.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party and to use such information solely for the purposes of the engagement, unless disclosure is required by law.

9. Data Protection

We process personal data in accordance with applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.

10. Limitation of Liability

To the fullest extent permitted by law:

  • We exclude liability for indirect, consequential, or economic losses

  • We are not liable for losses arising from decisions made based on advice provided

  • Our total liability shall not exceed the fees paid to us for the relevant services

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

11. No Guarantees

We do not guarantee:

  • Cost savings or financial outcomes

  • Supplier acceptance or availability

  • Regulatory, compliance, or reporting outcomes

All advice is provided based on information available at the time.

12. Termination

Either party may terminate services:

  • In accordance with any agreed notice period

  • Immediately in the event of material breach

  • Where continuation would breach law or regulation

Termination does not affect accrued rights or payment obligations.

13. Force Majeure

We shall not be liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, regulatory changes, supplier failure, or system outages.

14. Website Use

Use of our website is subject to these Terms. We do not guarantee uninterrupted availability and reserve the right to modify or withdraw content without notice.

15. Amendments

We may amend these Terms from time to time. Updated versions will be published on our website and will apply from the date of publication.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
